These Terms of Use (“Terms”) are a legal agreement between you and Useful Tools LLC, a North Carolina limited liability company (“Useful Tools,” “we,” “us,” or “our”), governing your use of Ends Meet and its related websites, apps, and services (collectively, the “Service”).

By creating an account, clicking to accept these Terms, or accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 to use Ends Meet. If you are under the age of legal majority where you live, you may use the Service only with the permission and supervision of a parent or legal guardian who agrees to these Terms. The Service is not directed to children under 13.

If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service and your license

Ends Meet is a budgeting and planning tool that helps you organize information you enter about income, bills, due dates, paid status, goals, and preferences. It does not connect to your bank or ask for bank login credentials.

Subject to these Terms, Useful Tools grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended budgeting and planning purposes.

The Service is licensed, not sold. Except for this limited license, Useful Tools and its licensors retain all rights in the Service, including its software, design, text, graphics, branding, and other materials.

3. Your account

You must provide accurate account information and keep it current. You are responsible for protecting your credentials and for activity under your account. Notify us promptly at Calvin@endsmeet.app if you believe your account has been compromised.

Some features may be available without an account and may store information only on your device. You are responsible for protecting and backing up device-only information.

4. Your content

You retain ownership of the budget information, goals, preferences, and other content you submit to the Service (“Your Content”).

You grant Useful Tools a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, and display Your Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with your instructions, and meet legal obligations. This license ends when Your Content is deleted from active systems, except for limited retained copies described in the Privacy Policy.

You represent that you have the rights needed to submit Your Content. You are responsible for reviewing entries, correcting mistakes, and maintaining copies of information important to you.

If you provide product feedback, you grant Useful Tools a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation, but we will not publicly identify you as the source without permission.

5. Budgeting and financial disclaimer

Ends Meet is an educational budgeting and planning tool. It does not provide financial, investment, tax, legal, credit, debt-relief, or accounting advice. Useful Tools is not a bank, lender, financial adviser, broker, accountant, attorney, or fiduciary.

The Service does not guarantee that you will save money, pay bills on time, avoid fees, improve credit, qualify for a product, or achieve any financial result. Calculations and reminders may be incomplete, delayed, or incorrect. You are responsible for verifying amounts, dates, account balances, payment status, and decisions with the relevant financial institution, biller, or qualified professional.

Do not rely on the Service for emergency financial decisions, legal deadlines, tax filings, payment instructions, or as the sole record of your obligations.

6. AI features

Money Talk, the weekly read, and other AI features may generate suggestions based on a summary of the budget information you choose to submit. AI output may be inaccurate, incomplete, outdated, or inappropriate. It is informational only and is not financial, investment, tax, legal, credit, or accounting advice.

You must review output and make your own decisions. You are responsible for the information you submit and how you use the output. Useful Tools does not guarantee that AI output is unique, accurate, or free from third-party claims. Similar output may be generated for other users.

The Service relies on or may link to third-party services, including hosting, authentication, AI, analytics, app stores, and payment platforms. Third-party services are governed by their own terms and privacy policies. Useful Tools is not responsible for third-party services, but this does not limit responsibilities that cannot legally be limited.

9. Paid features

If we offer paid features, the price, billing period, renewal terms, and material restrictions will be shown before purchase. Purchases made through Apple, Google, or another platform are also governed by that platform's billing and refund rules.

Unless the purchase screen states otherwise, subscriptions automatically renew until canceled through the platform or method used to purchase them. Cancel before renewal to avoid the next charge. Cancellation stops future renewal but does not retroactively refund charges, except where required by law or platform rules.

We may change prices prospectively with notice required by law or the applicable platform. Taxes may apply.

10. Intellectual property and notices

The Service and all related intellectual property are owned by Useful Tools or its licensors. Ends Meet, Useful Tools LLC, associated logos, and product design elements may be protected by trademark and other laws. You may not remove proprietary notices or use our branding in a way that implies endorsement.

If you believe content in the Service infringes your rights, contact Calvin@endsmeet.app with enough information for us to understand and evaluate the claim.

11. Suspension and termination

You may stop using the Service at any time and may delete your account as described in the Privacy Policy.

We may suspend or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay applicable fees, or used the Service in a way that could harm users or the Service. When reasonable, we will provide notice and an opportunity to address the issue. We may act immediately when needed for security, safety, legal compliance, or to prevent harm.

Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, dispute terms, and accrued payment obligations.

12. Changes and availability

We may add, change, suspend, or discontinue features. We do not promise that the Service will always be available, uninterrupted, secure, or error-free.

We may update these Terms. If a change is material, we will provide notice as required by law. The updated Terms apply prospectively from their stated effective date. If you do not agree to an update, you must stop using the Service.

13. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” USEFUL TOOLS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

USEFUL TOOLS DOES NOT WARRANT THAT THE SERVICE, CALCULATIONS, REMINDERS, OR AI OUTPUT WILL MEET YOUR NEEDS, BE ERROR-FREE, OR PREVENT DATA LOSS OR FINANCIAL LOSS. YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS AND VERIFYING IMPORTANT INFORMATION.

Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you. Nothing in these Terms limits non-waivable consumer rights.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USEFUL TOOLS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; FINANCIAL FEES OR PENALTIES; MISSED OR LATE PAYMENTS; CREDIT IMPACT; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF USEFUL TOOLS AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID USEFUL TOOLS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limits apply to all theories of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited. Some jurisdictions do not allow certain exclusions or limits, so the limits may apply only to the extent permitted by law.

15. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Useful Tools and its owners, officers, employees, and contractors from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from Your Content, your misuse of the Service, your violation of these Terms, or your violation of another person's rights. Useful Tools will provide reasonable notice of a covered claim and may control the defense and settlement. You may not settle a claim in a way that admits fault by or imposes obligations on Useful Tools without our written consent.

This section does not require a consumer to indemnify Useful Tools for Useful Tools' own unlawful conduct or to the extent prohibited by law.

16. Governing law and venue

These Terms are governed by the laws of North Carolina, without regard to conflict-of-law rules. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their personal jurisdiction and venue. If applicable consumer law gives you the right to bring a claim elsewhere, that right is not waived.

Before filing a claim, each party agrees to send written notice describing the dispute and allow 30 days for a good-faith effort to resolve it, unless immediate relief is reasonably necessary.

17. General terms

These Terms and the policies they incorporate are the entire agreement between you and Useful Tools about the Service. If a provision is unenforceable, it will be modified only as much as needed, and the rest will remain in effect. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. Useful Tools may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

Useful Tools is not liable for delay or failure caused by events beyond its reasonable control. Headings are for convenience only. The words “including” and “such as” mean “including without limitation.”

Notices may be provided in the Service, by email, or by posting an updated document where legally permitted. Electronic communications satisfy legal writing requirements to the extent permitted by law.
